1Acceptance of Terms

By accessing or using Paganki's services, you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, you are prohibited from using our services.

Paganki provides a payment processing platform that enables businesses to create, send, and manage invoices with QR code functionality, email delivery, and payment processing. We reserve the right to modify, suspend, or discontinue any part of our service at any time.

3Platform Role - Payment Facilitator Only

IMPORTANT: Paganki is a technology platform that facilitates payments between parties. We are NOT a party to any transaction between you and your customers. We do not verify, endorse, guarantee, or assume any responsibility for the goods, services, or products being paid for through our platform.

4Eligibility

You must be at least 18 years old and have legal capacity to enter into agreements. Businesses must be legally established and in good standing.

5Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether authorized by you or not.

6Prohibited Uses

You may not use our services for any unlawful purpose or in any way that could damage, disable, or impair our service. We actively monitor for prohibited activities and may suspend accounts immediately upon detection.

Prohibited activities include:

  • Processing payments for illegal goods or services
  • Engaging in fraudulent or deceptive practices
  • Violating any applicable laws or regulations
  • Interfering with or disrupting our services
  • Using the platform for card testing, carding, or unauthorized payment method validation
  • Circumventing fraud prevention measures, rate limits, or security controls
  • Processing payments on behalf of undisclosed third parties
  • Creating multiple accounts to evade suspension or enforcement actions

Important: Note

Warning: Violation may result in immediate account suspension, voiding of outstanding invoices, cancellation of your subscription, and referral to law enforcement.

7Fraud Prevention and Security Measures

We employ multiple layers of fraud prevention to protect merchants, customers, and the integrity of our platform. By using our services, you acknowledge and agree to the following fraud prevention measures.

Active fraud prevention systems:

  • 3D Secure (3DS) authentication may be required for card payments, either automatically based on risk assessment or as configured by the merchant. Customers may be asked to verify their identity with their card issuer before completing payment.
  • Stripe Radar machine learning screens all payments for fraud risk. Payments may be automatically blocked, flagged for review, or require additional verification based on risk signals.
  • Payment velocity controls limit the number of payment attempts per payment link and per IP address. Excessive failed attempts will result in temporary blocks to prevent card testing attacks.
  • IP address tracking and anomaly detection monitor for suspicious patterns. We log the originating IP address of payment attempts for fraud investigation purposes.
  • High-value transaction monitoring flags transactions above configurable thresholds for enhanced scrutiny.
  • Statement descriptors are set on all payments to ensure clear identification on customer bank statements, reducing unrecognized charge disputes.

Warning: Attempts to circumvent these security measures may result in immediate account suspension and permanent ban from the platform.

8Account Suspension and Flagging

We reserve the right to suspend merchant accounts at any time when we reasonably believe fraudulent activity, policy violations, or excessive risk is present. Account suspension is a protective measure and does not require prior notice.

Additional

When an account is suspended:

  • All outstanding open and overdue invoices are immediately voided and cannot be paid by customers
  • All recurring invoices and automated billing schedules are paused
  • Your platform subscription is canceled and access to the merchant dashboard is blocked
  • The account owner is notified via email with the reason for suspension and support contact information
  • Suspended accounts may be reinstated after review at our sole discretion — voided invoices must be re-created

Important: Note

Warning: We may suspend accounts based on but not limited to: elevated dispute rates, suspected fraud, regulatory compliance concerns, reports from customers or payment networks, or violation of these Terms of Service.

9Payment Authentication and Verification

To comply with Strong Customer Authentication (SCA) regulations, payment network rules, and to reduce fraud, we may require additional verification steps during the payment process.

Additional

Authentication measures include:

  • 3D Secure (3DS) challenges requiring cardholder verification with their issuing bank. Merchants may configure 3DS to be required on all payments or only above a specified amount threshold.
  • One-Time Password (OTP) verification via email or SMS before processing payment. OTP codes expire after 10 minutes and are limited to 5 verification attempts.
  • Saved payment methods undergo SCA verification at the time of card setup to ensure future charges process smoothly.
  • Automatic payment retries that require customer authentication will generate a notification email with a payment link rather than silently failing.

Important: Merchants are responsible for configuring appropriate authentication levels for their business. Higher authentication requirements reduce fraud risk but may increase payment friction for legitimate customers.

10Payment Processing

Payment processing is provided through third-party financial institutions and processors (including Stripe). You acknowledge that payment processing involves third parties beyond our control and may be subject to additional terms and conditions.

  • We are NOT LIABLE for payment processing failures, delays, errors, or third-party processor issues
  • Merchants are responsible for all chargebacks, disputes, and refund claims
  • Payment processing times may vary depending on payment method and financial institutions
  • We do NOT guarantee transaction success, approval rates, or settlement timing

Important: Note

Warning: Payment processing involves third-party risks including network outages, banking delays, and processor failures that are beyond our control and for which we bear NO LIABILITY.

11Fees and Billing

Our fees are disclosed during registration and in your account dashboard. We reserve the right to change fees with 30 days' notice. All fees are non-refundable unless otherwise specified.

12Termination and Account Removal

We reserve the right to refuse, suspend, or terminate service to any user, at any time, for any reason or no reason, at our sole and absolute discretion, without prior notice or explanation.

Termination rights:

  • We may evaluate accounts on a case-by-case basis and ban users based on suspected fraud, complaints, reputation, or risk assessment
  • Known bad actors, fraudulent merchants, or high-risk accounts may be immediately banned without notice or refund
  • We have NO OBLIGATION to investigate, provide reasons, or allow appeals for termination decisions
  • Either party may terminate this agreement at any time - termination does not affect obligations that arose before termination

13Disclaimers and Warranties

OUR SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

  • Any warranties regarding payment processing speed, success rates, or accuracy
  • Any responsibility for merchant-customer transactions, disputes, or quality issues

Warning: YOU USE OUR SERVICES AT YOUR OWN RISK. Some jurisdictions do not allow exclusion of certain warranties, so these disclaimers may not fully apply to you.

14Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PAGANKI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. Our total liability shall not exceed the amount you paid us in the 12 months preceding the incident.

We are NOT LIABLE for:

  • Loss of profits, revenue, business opportunities, or data
  • Failed transactions, payment errors, chargebacks, or disputes between you and your customers
  • Third-party actions or failures (banks, Stripe, processors, email/SMS providers)
  • Any damages exceeding amounts you paid us in the preceding 12 months

Warning: Our liability is limited to the maximum extent permitted by law. Some jurisdictions do not allow certain limitations, so these may not fully apply to you.

15Indemnification

You agree to indemnify, defend, and hold harmless Paganki and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these terms, or your transactions with customers.

You indemnify us against claims from:

  • Your violation of these terms or applicable laws
  • Your business operations, products, or services sold to customers
  • Disputes, chargebacks, or claims from your customers
  • Fraudulent or illegal activities conducted through your account

16Dispute Resolution and Arbitration

Any disputes arising from these terms will be resolved through binding arbitration rather than in court, except for small claims court matters. You waive your right to participate in class action lawsuits.

17General Provisions

These terms constitute the entire agreement between you and Paganki. They are governed by California law. We may assign these terms without your consent; you may not assign without our written consent.
